1.1. These Terms and Conditions ("Terms") form a legally binding agreement between you and the Provider regarding your access to and use of the Service.
1.2. By completing payment for the Service through our payment provider (Stripe), or by accessing or using the Service, you confirm that you have read and agree to be bound by these Terms.
1.3. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" refers to that entity.
1.4. If you do not agree to these Terms, you must not access or use the Service.
2.1. "Service" refers to the software service known as Coolstory provided by the Service provider.
2.2. "User," "you," or "your" means any individual or entity accessing or using the Service.
2.3. "Provider," "we," "us," or "our" refers to the entity offering the Service.
3.1. We reserve the right to update or modify these Terms at any time, in our sole discretion.
3.2. Any modifications will become effective immediately upon posting on our website.
3.3. Your continued use of the Service following any such changes constitutes your acceptance of the updated Terms.
4.1. You agree to use the Service solely for lawful purposes and in compliance with all applicable laws and regulations.
4.2. You shall not misuse or interfere with the proper functioning of the Service, nor use it in any way that could harm or impair its operation.
5.1. Fees and billing cycle. Fees are billed in advance on a recurring basis at the plan and price you selected at checkout.
5.2. Auto-renewal. Subscriptions renew automatically for successive periods unless cancelled before the renewal date.
5.3. Fees are for access, not usage. Fees secure access to and availability of the Service for the billing period. They do not vary with actual usage, and not using or under-using the Service does not reduce fees or create any right to a refund or credit.
5.4. Non-refundable; no pro-ration. All fees are non-refundable, including fees for a partial billing period. We do not provide pro-rated refunds for unused time.
5.5. Cancellation. You may cancel at any time by contacting us via email. Cancellation takes effect at the end of the current paid period; you retain access until then and are not charged for further periods.
5.6. Payment and suspension. Fees are due on the invoice/charge date. We may suspend or terminate access for non-payment and may charge a late fee on overdue amounts.
5.7. Price changes. We may change fees, effective from your next renewal, on 30 days' notice.
5.8. Billing disputes. Any dispute about an invoice or charge must be raised in writing within 15 days. Charges not disputed within that period are deemed accepted.
6.1. These Terms are effective from the time you first access the Service and will remain in effect until terminated.
6.2. We reserve the right to suspend or terminate your access to the Service, with or without prior notice, for any reason, including but not limited to a breach of these Terms.
6.3. Upon termination, your right to use the Service immediately ceases, and any provisions intended to survive termination shall continue in full force and effect.
7.1. The Service is provided on an "as is" and "as available" basis.
7.2. We expressly disclaim all warranties of any kind, whether express, implied, statutory, or otherwise, including without limitation any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
7.3. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
7.4. No information or advice provided through the Service shall be deemed to create any warranty not expressly stated herein.
8.1. To the fullest extent permitted by law, in no event shall the Provider be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly, or for any loss of data, use, goodwill, or other intangible losses, arising out of or in connection with your use or inability to use the Service.
8.2. In no event shall the Provider's total liability for any claim related to these Terms exceed the total amount paid by you, if any, for accessing the Service in the twelve (12) months preceding the claim.
9.1. You agree to indemnify, defend, and hold harmless the Provider, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from or in any way connected with your use of the Service or your violation of these Terms.
10.1. These Terms shall be governed by and construed in accordance with the laws of Poland, without regard to its conflict of law principles.
10.2. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Poland.
11.1. If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be modified or limited to the extent necessary so that it is enforceable, and the remaining provisions shall continue in full force and effect.
12.1. These Terms, together with any other legal notices or policies published on our website, constitute the entire agreement between you and the Provider regarding your use of the Service, and supersede all prior agreements or understandings, whether written or oral.
